Welcome to CitizenClimate ("we," "us," or "our"), the provider of the CitizenClimate website (citizenclimate.com) and mobile application (the "App" or "Services"). These Terms and Conditions ("Terms") govern your use of our Services, which empower local communities in developing countries to lead climate action projects. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please refrain from using our Services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and CitizenClimate Ltd., registered at 123 Green Street, London, UK EC1A 1AA (or your registered address). By registering, downloading the App, or using our Services, you acknowledge that you are at least 13 years old and have the legal capacity to enter into this agreement. Minors must have parental consent.

2. Description of Services

CitizenClimate provides a platform for:

  • Community members to collect live environmental data, participate in climate projects, and receive education and financial incentives.

  • Project developers to manage initiatives and engage with communities.

  • Companies to support sustainability goals through community partnerships. The Services rely on Firebase for backend infrastructure and may include features like surveys, dashboards, and reward systems.

3. Account Registration and Use
  • Registration: You must create an account with a valid email and password. You are responsible for maintaining confidentiality and restricting access to your account.

  • Accuracy: Provide truthful and current information. We reserve the right to suspend or terminate accounts with false data.

  • Usage: Use the Services solely for their intended purpose. Unauthorized access, scraping, or misuse (e.g., distributing malware) is prohibited.

4. User Content and Data
  • Ownership: You retain ownership of content you submit (e.g., data, photos), but grant us a worldwide, royalty-free license to use, store, and display it for Service operation and improvement.

  • Responsibility: You are liable for ensuring your content complies with laws and does not infringe on third-party rights.

  • Removal: We may remove content that violates these Terms or poses legal risks, without prior notice.

5. Payment and Incentives
  • Incentives: Community participants may receive financial rewards or educational credits, processed via third-party payment providers (e.g., Stripe). Eligibility and amounts are at our discretion.

  • Fees: Certain features (e.g., enterprise plans) may incur fees, detailed on our Pricing page. Payments are non-refundable unless required by law.

  • Taxes: You are responsible for any taxes arising from incentives or fees.

6. Intellectual Property
  • Ownership: The Services, including the App, website, and logos, are owned by CitizenClimate Ltd. and protected by copyright, trademark, and other laws.

  • License: We grant you a limited, non-exclusive, non-transferable license to use the Services for personal or authorized business purposes, subject to these Terms.

  • Restrictions: You may not reverse-engineer, modify, or distribute our intellectual property without written consent.

7. Third-Party Services
  • The Services may integrate with third-party providers (e.g., Firebase, Google Analytics, Stripe). Their terms and privacy policies apply, and we are not liable for their performance.

  • Links to external sites are provided for convenience; we do not endorse or control them.

8. User Conduct

You agree not to:

  • Use the Services for illegal activities, harassment, or discrimination.

  • Interfere with Service functionality (e.g., via bots or denial-of-service attacks).

  • Share false or misleading data that could harm project integrity. Violations may result in account termination and legal action.

9. Limitation of Liability
  • Disclaimer: The Services are provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement, to the extent permitted by law.

  • Liability Cap: Our liability is limited to the amount you paid us in the past 12 months, or £100 if no payment was made. We are not liable for indirect damages (e.g., lost profits).

  • Force Majeure: We are not responsible for delays or failures due to events beyond our control (e.g., natural disasters, government actions).

10. Indemnification

You agree to indemnify and hold CitizenClimate harmless from claims, damages, or costs arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights.

11. Termination
  • We may suspend or terminate your account for breach of these Terms, with or without notice.

  • You may deactivate your account via App settings or by contacting us, subject to data retention policies in our Privacy Policy.

  • Termination does not relieve you of obligations incurred prior to termination.

12. Governing Law and Dispute Resolution
  • Governing Law: These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles.

  • Dispute Resolution: Disputes will be resolved through binding arbitration under the rules of the London Court of International Arbitration (LCIA), unless prohibited by local law. Class actions are waived.

  • Jurisdiction: For non-arbitrable claims, you consent to the exclusive jurisdiction of the courts of England and Wales.

13. Modifications to Services and Terms
  • We may update the Services or these Terms to reflect new features, legal requirements, or business needs. Significant changes will be notified via email or a website notice at least 30 days in advance.

  • Continued use after modifications constitutes acceptance. You may terminate your account if you disagree with changes.

14. Compliance with Laws

We comply with applicable laws, including:

  • GDPR: For EU/UK users, ensuring data protection and user rights.

  • CCPA: For California residents, providing opt-out and transparency options.

  • App Store Rules: Adhering to Google Play and Apple App Store guidelines.

  • Local Regulations: Complying with laws in developing countries (e.g., India’s Consumer Protection Act, 2019) where applicable.
